These general terms govern access to the website ottopilote.com and the provision of OTTOPILOTE LLC's services ("OTTOPILOTE", "we"). By using the website or ordering a service, you (the "Client") accept these terms.
1. Purpose
OTTOPILOTE is a software development studio offering the design and delivery of digital products : SaaS, websites, web and mobile applications, internal tools and custom development.
2. Quotes and orders
Services are provided on a quote basis. Each engagement is the subject of a proposal describing the scope, deliverables, schedule and price. The order is firm upon the Client's written acceptance of the quote. Unless otherwise agreed, payment terms are specified in the quote.
3. Client obligations
The Client undertakes to provide, in due time, all the information, access, content and approvals necessary for the proper execution of the engagement. Any delay attributable to the Client may push back the schedule without engaging OTTOPILOTE's liability.
4. Deliverables and intellectual property
Unless otherwise stipulated in the quote, the intellectual property rights to the final deliverables are transferred to the Client after full payment of the engagement. OTTOPILOTE retains ownership of its know-how, tools, libraries and reusable components that pre-exist or are developed generically, and reserves the right to mention the engagement as a reference, unless a confidentiality agreement provides otherwise.
5. Price and payment
Prices are indicated in the quote. Unless stated otherwise, they are exclusive of tax. Invoices are payable according to the agreed schedule. Any late payment may lead to the suspension of ongoing services.
6. Liability
OTTOPILOTE undertakes to perform the services with care and according to professional standards. Its liability is limited to direct and proven damages, up to the amount of the engagement concerned. OTTOPILOTE cannot be held liable for indirect damages (loss of revenue, data, customers, or commercial harm). The website and its content are provided "as is", without any guarantee of uninterrupted availability.
7. Confidentiality
Each party undertakes to preserve the confidentiality of the information exchanged in connection with an engagement. The processing of personal data is described in our Privacy Notice.
8. Governing law and jurisdiction
These terms are governed by the law of the State of Wyoming (United States). Any dispute relating to their interpretation or performance falls under the jurisdiction of the competent courts of that State, except where mandatory provisions provide otherwise.
